The definitive governance document for all student, candidate, and licensee relationships within the Sherman Pathways ecosystem. Read before enrolling. Enrollment constitutes acceptance of all terms contained herein.

§01

Definitions & Scope

Terminology · Parties · Applicability

These Student Policies & Terms of Enrollment ("Terms") govern all relationships between Roger Sherman Holdings LLC, its operating subsidiaries, and any individual or organization that enrolls in, purchases access to, or otherwise engages with any program, certification, degree, or platform within the Sherman Pathways ecosystem. By completing any purchase or enrollment action, you ("Student," "Licensee," or "Partner") confirm acceptance of all terms in full.

Defined Term Definition
"RSH"Roger Sherman Holdings LLC — the parent holding company, IP owner, and ultimate governance authority for all entities in the ecosystem. All IP is held by RSH and licensed (never transferred) to operating entities.
"Sherman Pathways" / "SP"The commercial interface and enrollment gateway for all certification and degree programs. Operates at shermanpathways.com under license from RSH.
"RSIT"Roger Sherman Institute of Technology — the certification engine and primary instructional authority. Issues all professional certifications and manages academic faculty.
"RSIS"Roger Sherman Intelligence Systems — the compliance validation engine. Operates the Constitutional Core™, Real-Time Compliance Streaming Engine, and RSIS Sandbox environment.
"Partner University"Any external degree-granting institution contracted with RSH/SP to issue accredited degrees based on RSIT coursework — currently UCAM, OTHM, UTAMED, Apsley Business School, and Universidad Azteca.
"LMS"The Learning Management System operated by RSIT — the digital platform through which all course materials, capstone submissions, and faculty feedback are delivered.
"Credentials"Login access to the LMS and/or the issuance of a digital or physical certificate, diploma, or degree by RSIT or a Partner University.
"Capstone"The governed applied artifact project required for credential issuance — a professional deliverable reviewed and scored by RSIT Academic Support Faculty.
"Sherman-Nexus™"The Applied Intelligence Operating System — the patent-pending technical and governance architecture that underpins all RSIT curriculum and RSIS compliance tooling.
"Enrollment Date"The date on which full payment is confirmed and LMS access credentials are issued or queued for issuance.
"Program Duration"The period within which a Student must complete all course requirements, as defined per certification or degree track.

These Terms supersede all prior communications, marketing materials, verbal representations, and informal commitments. In the event of conflict between these Terms and any third-party Partner University policies, the Partner University's academic regulations govern academic matters; these Terms govern the commercial, financial, and IP relationship between Student and RSH/SP/RSIT.

§02

Enrollment & Contract Formation

Agreement · Eligibility · Representations

A binding enrollment agreement is formed at the moment payment is processed and confirmed by the Sherman Pathways payment platform. No separate signature is required. The act of completing a purchase constitutes full acceptance of these Terms.

A. Eligibility Requirements
  • Students must be at least 18 years of age at the time of enrollment. Sherman Pathways does not knowingly enroll minors in professional or academic programs.
  • Certification Track (Track 1): No academic prerequisites. Students self-certify their capacity to complete professional-level applied work.
  • Degree Track (Track 2): A recognized Bachelor's degree or equivalent is required. Students must complete the Academic Verification Portal (AVP) process prior to full tuition payment. Enrollment for degree programs is conditional until verification is confirmed by the Registrar.
  • Students must possess sufficient English-language proficiency to engage with course materials, submit written assignments, and communicate with faculty. English-language requirements per Partner University may vary.
B. Student Representations

By enrolling, the Student warrants that:

  1. All information provided during enrollment, application, and verification is accurate, complete, and not fraudulent.
  2. Academic documents submitted for verification are authentic, unaltered originals or certified copies thereof.
  3. The Student is not enrolling on behalf of another individual, nor will they transfer or share their LMS credentials with any third party.
  4. The Student understands that enrollment is for personal educational purposes and not for the purposes of credential resale, platform reverse-engineering, or competitor intelligence gathering.
C. Conditional Admission (Degree Track)

For degree programs, a conditional Letter of Acceptance may be issued pending final document verification by the Partner University. Full tuition payment does not guarantee final acceptance if the Partner University determines the Student does not meet its independent admission requirements. In such cases, the application and verification fee is non-refundable; any tuition paid before Partner University rejection is subject to the refund policy in §4.

D. Program Modifications by RSH

RSH reserves the right to modify curriculum content, delivery format, faculty assignments, and technology platforms at any time without prior student approval, provided that the substantive credential value and program structure are maintained. Students will be notified of material changes by email within 30 days of implementation.

§03

Tuition, Fees & Payment Terms

A. Tuition Schedule

All tuition and fee amounts are published on the Sherman Pathways website at the time of enrollment. Prices are subject to change without notice; the price applicable to any enrollment is the price confirmed at the time of purchase. Tuition does not include third-party costs such as Partner University apostille fees, external exam fees, or additional materials unless explicitly stated.

B. Currency & Tax

All prices are listed in US Dollars (USD) unless otherwise specified. For international customers, exchange rate risk is borne by the Student. Sherman Pathways does not collect VAT, GST, or sales tax in most jurisdictions; where required by applicable law, applicable tax will be added to the checkout price. Students are responsible for any import duties, withholding taxes, or local obligations in their jurisdiction.

C. Payment Methods

Sherman Pathways accepts payment by major credit card, debit card, and bank transfer (ACH/wire) where available. Corporate purchase orders may be accepted for enterprise cohort enrollments (minimum 5 seats) at RSH's sole discretion. Installment plans, where offered, are governed by the specific installment agreement presented at checkout — failure to make scheduled payments may result in LMS suspension until the outstanding balance is resolved.

D. Application & Verification Fees

The Application & Academic Verification package covers the administrative cost of the Academic Verification Portal (AVP) and Registrar review. This fee is non-refundable in all circumstances, including cases where the Partner University declines to issue an admission offer. Payment of this fee does not guarantee admission.

E. Corporate & Sponsorship Payments

Where a Student's enrollment is funded by an employer or sponsor through the Academic Sponsorship product, the financial obligations (including refund eligibility and chargeback restrictions) apply to the sponsoring party, not to the Student individually. The Student remains bound by all academic, conduct, and IP provisions herein.

Refund Policy

Final Sale · Exceptions · Degree Partner Rejections
⚠ Strict No-Refund Policy — All Sales Final Due to the immediate release of proprietary intellectual property, digital courseware access, and Partner University registration processing upon enrollment, all sales on Sherman Pathways are final. LMS credential issuance constitutes full service delivery. Read the exceptions below carefully before purchasing.
A. Professional Certification Track (Track 1)

No refunds are available once LMS access credentials have been issued. LMS credentials are typically issued within 72 business hours of payment confirmation. If credentials are not issued within 10 business days and you have not received communication from the Admissions team, contact admission.support@shermanpathways.com before initiating any payment dispute.

B. Degree Track (Track 2) — Pre-Verification

If a Student pays full degree tuition and the Partner University subsequently declines admission on the basis of document verification failure (not Student withdrawal), a partial refund of tuition may be issued at RSH's discretion, less the non-refundable application and verification fee and any administrative processing costs. Refund requests must be submitted in writing to admission.support@shermanpathways.com within 14 calendar days of the Partner University rejection notice.

C. Technical Failure Exception

In the event of a documented platform failure that makes LMS content inaccessible for more than 7 consecutive calendar days and cannot be remediated, RSH will offer a pro-rated credit toward a future enrollment or an alternative access solution. This is not a cash refund provision.

D. Academic Sponsorship Refunds

Refund eligibility for sponsored enrollments is determined by the Academic Sponsorship product terms agreed at the time of sponsorship purchase. Student withdrawal or academic failure does not automatically entitle the sponsoring party to a refund.

Before You Purchase — Verification Recommendation If you are uncertain whether your academic documents meet admission requirements for your chosen degree track, we strongly recommend completing the Application & Verification package before paying full tuition. Contact admissions at admission.support@shermanpathways.com with questions prior to enrollment.
§05

Chargeback & Payment Dispute Policy

Unauthorized Disputes · Consequences · Resolution Protocol

Sherman Pathways has a clear and published refund policy (§4). Initiating a payment chargeback or dispute with a bank or credit card issuer without first exhausting the dispute resolution process described herein is a material breach of these Terms.

A. Required Pre-Dispute Contact

Before initiating any payment dispute, Students must contact admission.support@shermanpathways.com with a written description of the issue. RSH commits to responding within 5 business days. If the matter cannot be resolved informally within 15 business days, Students may escalate in accordance with §16 (Dispute Resolution).

B. Consequences of Unauthorized Chargeback

An unauthorized chargeback — defined as a chargeback initiated without completing the pre-dispute contact process above — will result in all of the following, effective immediately and without further notice:

  • Immediate suspension and permanent termination of the Student's LMS account.
  • Revocation of all issued credentials, certificates, and diplomas issued under the Student's enrollment — including credentials already used in professional or academic contexts.
  • Notification to all Partner Universities of the credential revocation for registry purposes.
  • Referral to a third-party collections agency for recovery of the full disputed amount plus any bank fees, legal costs, and administrative penalties incurred by RSH.
  • Permanent ineligibility for re-enrollment in any Sherman Pathways, RSIT, or affiliated Partner University program.
C. Fraudulent Enrollment

Any enrollment completed with fraudulent payment credentials, fraudulent identity, or fraudulent academic documents constitutes fraud and may be referred to law enforcement. All credentials issued on the basis of fraudulent enrollment are void ab initio.

§06

Credential Issuance, Verification & Revocation

A. Issuance Timeline

Professional certificates are issued digitally within 10 business days of confirmed capstone approval. University degrees are issued according to the Partner University's academic calendar and administrative timelines — RSH does not control this schedule and is not liable for delays in degree issuance by Partner Universities. Students requiring expedited issuance for employment or immigration purposes must notify the Admissions team in writing as early as possible.

B. Format & Verification

All RSIT professional certificates are issued as verified digital credentials. Certificate authenticity can be verified by third parties through the RSIT credential verification portal. Partner University degrees are issued in the format specified by the Partner University — typically a secure PDF with institutional seal, with hard-copy options available upon request and subject to Partner University fees.

C. Apostille & Legalization

Physical diplomas with Hague Apostille legalization may be requested directly from the relevant Partner University Registrar upon graduation. Sherman Pathways is not a party to this process. Apostille fees, notarization costs, and shipping are the responsibility of the Student. RSH makes no representations regarding apostille timelines, which are governed entirely by the issuing institution and national authorities.

D. Credential Revocation

RSH and/or the relevant Partner University reserve the right to revoke any issued credential in the following circumstances:

  • Academic fraud: Discovery that capstone work, assignments, or verification documents were fabricated, plagiarized, or misrepresented.
  • Identity fraud: Discovery that the credential was obtained by an individual other than the enrolled Student.
  • Unauthorized chargeback: As described in §5B.
  • Material conduct violation: Gross misconduct that, in RSH's reasonable judgment, would constitute grounds for dismissal under §11.
  • Partner University action: Where a Partner University independently determines that a degree was improperly awarded under its academic regulations.

Revocation is communicated in writing. Revoked credentials are removed from the RSIT verification registry and all Partner University records are updated accordingly. RSH is not liable for any professional or personal consequences arising from credential revocation for cause.

§07

Academic Integrity & the HITL Mandate

AI Use Policy · Human-in-the-Loop · Disclosure · Plagiarism
RSIT Position on Artificial Intelligence RSIT does not ban the use of AI tools. We govern them. The Applied Intelligence Operating System™ is built on the principle that AI is a governed instrument, not an autonomous actor. Students are trained to be Transformation Architects — professionals who audit AI output, not users who defer to it.
A. Human-in-the-Loop (HITL) Mandate

Every assignment, capstone section, and academic submission is subject to the HITL Mandate. This means:

  • The Student is the final intellectual author of all submitted work, regardless of the tools used to draft it.
  • AI-generated content must be reviewed, critically evaluated, corrected, and strategically framed by the Student before submission. Raw AI output presented without human synthesis constitutes academic dishonesty.
  • The Student assumes full responsibility for all factual claims in submitted work. "AI hallucination" is not a valid defense for factual inaccuracies in a Capstone or graded assignment.
B. AI Disclosure Appendix (APPENDIX_A)

Any assignment that involves the use of generative AI must include a completed AI Disclosure Appendix at the end of the submission. The Appendix must specify:

  1. The name and version of the AI system(s) used (e.g., GPT-4o, Claude 3.5, Gemini 1.5).
  2. The specific sections or tasks for which AI was used (e.g., "Section 3 draft — AI-assisted outlining").
  3. A summary of the prompts or instructions given to the AI system.
  4. A statement of the human review, edits, and validation performed by the Student prior to submission.

Omission of the AI Disclosure Appendix in a submission that used AI constitutes a violation of academic integrity policy — treated equivalently to plagiarism.

C. Plagiarism & Unauthorized Collaboration

Plagiarism — presenting another person's ideas, text, analysis, or code as one's own without attribution — is grounds for immediate assignment failure and potential dismissal. This includes:

  • Direct copying from course materials, published papers, or other students' work without citation.
  • Unauthorized collaboration on individual assignments (sharing answers or dividing assignment sections among multiple Students and submitting as individual work).
  • Submission of work previously submitted in another program without faculty disclosure.
D. Grade Appeals

Students who disagree with a capstone score or assignment grade may submit a written appeal to admission.support@shermanpathways.com within 14 calendar days of grade notification. Appeals must specify the scoring criteria in dispute and provide supporting evidence. The appeal is reviewed by a second faculty reviewer not involved in the original grading. The outcome of the appeal review is final.

§08

Academic Progress & Program Completion

A. Program Duration

Professional certifications are self-paced within a defined program window. The standard completion window for each certification is published on the program page at the time of enrollment. Students who do not complete within the program window may request a one-time 90-day extension by contacting the Admissions team — extensions are granted at RSH's discretion and may be subject to an administrative fee.

Degree programs follow the academic calendar of the relevant Partner University. Duration expectations and extension policies for degree programs are governed by the Partner University's academic regulations.

B. Passing Standards

Professional certificates require a minimum capstone rubric score of 80% (80/100) across all evaluated dimensions to receive credential issuance. Faculty feedback is provided for any capstone scoring below 80% — see the resubmission policy below.

C. Capstone Resubmission

Students who do not achieve the 80% passing threshold on their first capstone submission are entitled to one (1) resubmission within 60 days of the original feedback date, at no additional charge. A third submission, if required, may be permitted at RSH's discretion and may be subject to an additional review fee. Continued failure to meet the 80% standard after three submissions may result in program termination without credential issuance. No refund applies in this circumstance.

D. ECTS Credit Portability

Completed RSIT certifications generate ECTS-equivalent credits recognized by Partner Universities for the purpose of degree program credit recognition. The specific credit recognition granted to any certification, and the conditions under which it applies to a given degree program, is determined by the Partner University — not by RSH or RSIT. Credit recognition commitments are confirmed during the academic verification process, not at certification enrollment.

E. Transcripts & Student Records

Students may request an official RSIT Academic Transcript reflecting completed certifications and capstone outcomes by written request to admission.support@shermanpathways.com. Transcripts are processed within 15 business days. Official Partner University transcripts must be requested directly from the relevant Partner University Registrar.

§09

Withdrawal, Leave of Absence & Program Changes

Voluntary Withdrawal · Program Pause · Track Changes · Termination
A. Voluntary Withdrawal

A Student who wishes to withdraw from a program must notify RSH in writing to admission.support@shermanpathways.com. Withdrawal does not trigger a refund under the no-refund policy (§4). LMS access is terminated upon withdrawal processing. If the Student has completed any modules, an unofficial record of completed work may be provided upon request — no official credential is issued for partial completion.

B. Leave of Absence

Students experiencing documented extenuating circumstances (medical, family emergency, military deployment) may request a formal Leave of Absence of up to 180 days. Leave requests must be submitted in writing with supporting documentation. During an approved Leave, LMS access is suspended but the enrollment is preserved. Leave does not extend the program window beyond 180 days from the original completion deadline unless a formal extension is also approved. Only one Leave per enrollment may be granted.

C. Program or Track Transfers

Students who wish to transfer from one certification to another of equal or lesser value within 30 days of enrollment may request a program transfer. Transfers to higher-value programs require payment of the difference in tuition. Track transfers (e.g., from certification to degree track) are not automatic and require completion of the degree application and verification process.

D. RSH-Initiated Program Discontinuation

In the event RSH discontinues a certification or degree program, enrolled Students will be offered either: (i) a transfer to an equivalent or successor program at no additional cost; or (ii) a pro-rated credit toward another program based on modules not yet completed. Cash refunds in the case of RSH-initiated discontinuation will be evaluated at RSH's reasonable discretion.

§10

Intellectual Property & Ownership

RSH IP · Student Work · License Scope · Commercialization

Sherman Pathways operates on the Sherman-Nexus™ Applied Intelligence Operating System — a portfolio of 12+ provisional USPTO patent filings held exclusively by Roger Sherman Holdings LLC. The protection of this IP is fundamental to the ongoing value of every credential issued within the ecosystem.

A. RSH Proprietary Property

The following are the exclusive property of Roger Sherman Holdings LLC and are provided to Students under a limited, non-transferable, non-sublicensable license for personal educational use only:

  • All course materials, module content, lecture notes, video recordings, and written guides provided through the LMS.
  • All governance frameworks, methodologies, compliance logic, and system architectures underlying the Sherman-Nexus™ AIOS — including DEAL™, TAWE, Lean Sigma X™, D.A.N.C.E.™, Cognitive Trust Scoring Engine, and Constitutional Core™.
  • All prompt engineering templates, RSIS Sandbox configurations, and AI governance rubrics provided during the program.
  • All visual assets, brand marks, system diagrams, and architectural charts.
  • All assessment rubrics, capstone evaluation criteria, and faculty feedback frameworks.
B. Student-Owned Work

Students retain copyright ownership of the original written text of their own assignments and capstone submissions — specifically, the prose, analysis, and conclusions authored by the Student that are not derivative reproductions of RSH materials. However, Students do not acquire any rights to the underlying frameworks, prompt structures, compliance logic, or governance architectures that were provided by RSIT as instruments for the work.

C. Prohibited Uses
Prohibition on Commercialization Students may not repackage, resell, publish, sublicense, or white-label any RSIT course material, governance framework, methodology, or compliance tool as their own consulting product, training offering, or commercial IP — in whole or in part — without a specific written commercial license from Roger Sherman Holdings LLC. Violation constitutes IP infringement and breach of contract, actionable in law and in equity.
  • No redistribution: Course materials may not be shared with non-enrolled individuals, distributed on public platforms, or posted to repositories (GitHub, Notion, social media, etc.).
  • No reverse engineering: Students may not attempt to replicate, extract, or reproduce the underlying logic of the RSIS Compliance Engine, Sherman-Nexus™ architecture, or any other proprietary platform component.
  • No competitive use: Enrollment does not grant any right to use RSH frameworks to build competing platforms, training programs, or AI governance offerings.
D. DMCA Policy

Sherman Pathways complies with the Digital Millennium Copyright Act (DMCA). If you believe content on our platforms infringes your copyright, submit a written DMCA notice to partners@shermanpathways.com including: identification of the copyrighted work; identification of the infringing material and its URL; your contact information; and a good-faith statement that use is unauthorized. RSH will respond and take appropriate action within 10 business days.

§11

Code of Conduct & Student Responsibilities

Professional Standards · Prohibited Conduct · Dismissal

Sherman Pathways maintains a professional, governed academic environment. All Students are expected to conduct themselves in a manner consistent with the standards of a practicing AI governance professional — the credential toward which they are working.

A. Professional Standards

Students are expected to:

  • Engage with faculty, staff, and fellow students (where applicable) with professional courtesy and intellectual honesty.
  • Submit original, individually-authored work unless collaborative work is explicitly authorized by faculty.
  • Complete the AI Disclosure Appendix as required by the HITL Mandate (§7B).
  • Maintain the confidentiality of faculty feedback, internal grading criteria, and program administrative communications.
  • Comply with all applicable laws, including export control laws, when accessing the LMS from outside the United States.
B. Prohibited Conduct

The following conduct is prohibited and may result in immediate suspension or dismissal:

  • Harassment, threats, or abusive behavior directed at faculty, staff, or other students — in the LMS, by email, or in any other communication channel.
  • Sharing LMS login credentials with any unauthorized person, regardless of relationship.
  • Attempting to access, scrape, crawl, or extract content or data from the LMS or RSIS platform through automated means or unauthorized interfaces.
  • Submitting fraudulent documents during enrollment, verification, or any administrative process.
  • Impersonating a faculty member, RSIT administrator, or RSH official.
  • Using the Sherman Pathways or RSIT brand, name, or logo without written authorization from RSH.
  • Any conduct that, in RSH's reasonable judgment, would bring the institution into disrepute or harm the value of credentials issued to other Students.
C. Dismissal Process

For non-urgent conduct issues, RSH will provide written notice of the alleged violation and an opportunity for the Student to respond within 7 calendar days before a dismissal decision is made. For urgent violations (harassment, fraud, security breach), RSH reserves the right to suspend access immediately pending investigation. Dismissal for cause does not entitle the Student to a refund.

§12

Technology Standards & Platform Access

Hardware · Connectivity · Software · Platform SLA
A. Minimum Technical Requirements

Hardware

A modern laptop or desktop computer (macOS or Windows). Minimum 8GB RAM recommended; 16GB RAM required for certifications involving local AI model deployment or data visualization pipeline work. Mobile devices (smartphones, tablets) are not sufficient for Capstone submission.

Connectivity

Reliable broadband internet access required for LMS access, video content, and RSIS Sandbox use. Minimum 10 Mbps download recommended. RSH is not responsible for LMS access failures caused by the Student's internet service provider or geographic network limitations.

Software

A modern browser (Google Chrome or Microsoft Edge, current major version). Google Workspace or Microsoft Office 365 for document submission. Specific certifications may require Python 3.10+ environments, AWS Free Tier accounts, or access to specific LLM APIs — requirements are listed on individual program pages.

Accessibility Tools

RSIT LMS is designed to be compatible with NVDA, JAWS, and VoiceOver screen readers. Students requiring additional accessibility accommodations should contact the Accessibility Officer (§14) prior to enrollment.

B. Platform Availability

RSH targets LMS uptime of 99% on a monthly basis, excluding scheduled maintenance windows (which are communicated via email with at least 48 hours' notice) and events of force majeure (§15C). RSH does not guarantee uninterrupted access. Platform downtime of less than 48 consecutive hours in any 30-day period does not constitute a service failure entitling the Student to any remedy.

C. Account Security

Students are solely responsible for maintaining the security of their LMS login credentials. Any access to the LMS using the Student's credentials — authorized or not — is deemed to have been authorized by the Student for the purposes of these Terms. In the event of suspected credential compromise, the Student must notify RSH immediately at admission.support@shermanpathways.com.

§13

Data Privacy, GDPR & Student Records

Roger Sherman Holdings LLC processes personal data in accordance with applicable privacy law, including the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other applicable regional privacy frameworks. This section summarizes key data processing practices; the full Privacy Policy is available at shermanpathways.com/pages/privacy-policy.

A. Data We Collect
  • Enrollment data: Name, email, billing address, payment method (tokenized — no raw card data is stored by RSH).
  • Verification data: Passport or national ID, academic transcripts, CV — collected via the Academic Verification Portal and stored in encrypted form.
  • Academic data: Capstone submissions, assignment scores, faculty feedback, LMS activity logs, and communication records.
  • Technical data: IP address, browser type, LMS session data, and device identifiers — collected automatically during platform use.
  • Communication data: All email and support ticket communications with the RSH team.
B. How We Use Your Data
  • To process enrollment, issue credentials, and administer academic programs.
  • To share with Partner Universities strictly for the purposes of degree issuance, transcript generation, and academic registry maintenance.
  • To maintain the RSIT credential verification registry.
  • To send program-related administrative communications (mandatory) and, where consent is given, marketing communications (opt-out available at any time).
  • To comply with applicable legal obligations, including responding to lawful data requests from regulatory authorities.
C. Data We Do Not Sell

RSH does not sell, rent, or trade Student personal data to any third party for marketing or commercial purposes. Data is shared only as described in §13B above.

D. Retention

Enrollment and academic records are retained for a minimum of 10 years following program completion or termination — required for credential verification and potential regulatory audit purposes. Verification documents (passport scans, transcripts) are retained for 5 years or as required by Partner University agreements. Inactive applicant data (where no enrollment occurred) is deleted after 24 months.

E. Your Rights (GDPR / CCPA)

Depending on your jurisdiction, you may have rights to: access your personal data; correct inaccurate data; request deletion (subject to legal retention requirements); restrict or object to certain processing; and data portability. To exercise any of these rights, submit a written request to admission.support@shermanpathways.com. RSH responds to verified rights requests within 30 calendar days.

F. EU AI Act Article 4 — AI Literacy Records

For Students enrolled through corporate or enterprise programs for the purpose of EU AI Act Article 4 AI literacy compliance, RSH can provide aggregate or individual completion records suitable for organizational compliance documentation upon written request by the sponsoring organization. Individual consent from the Student is required before records are shared with employers.

Accessibility & Non-Discrimination

Equal Access · Accommodations · Anti-Discrimination Policy
A. Commitment to Equal Access

Sherman Pathways is committed to providing equal access to education for all qualified Students, regardless of disability status, race, color, national origin, sex, gender identity, sexual orientation, religion, age, or veteran status. This commitment applies to the enrollment process, the LMS platform, course materials, and all academic support functions.

B. Disability Accommodations

Students who require academic accommodations based on a documented disability (physical, cognitive, or neurological) should submit an Accommodation Request to admission.support@shermanpathways.com prior to or within 14 days of enrollment. Accommodation requests must include documentation from a licensed healthcare provider. RSH will evaluate each request individually and respond within 10 business days with an Accommodation Plan. Reasonable accommodations may include — but are not limited to — extended capstone deadlines, alternative submission formats, and modified assessment structures.

C. Digital Accessibility

RSH targets WCAG 2.1 Level AA compliance for the Sherman Pathways website and LMS. Students who encounter digital accessibility barriers should report them to admission.support@shermanpathways.com — RSH commits to responding to accessibility barrier reports within 48 business hours and to providing an accessible alternative while remediation is completed.

D. Non-Discrimination in Academic Evaluation

All academic evaluations, capstone scores, and credential decisions are made solely on the basis of academic merit as defined by published rubrics. Faculty members who have a conflict of interest with a particular Student must recuse themselves from that Student's grading. Complaints alleging discriminatory academic treatment may be submitted in writing to partners@shermanpathways.com for review by RSH leadership.

Limitation of Liability & Disclaimers

A. No Guarantee of Credential Recognition
Important — Read Before Enrolling in a Degree Program Sherman Pathways and RSIT make no warranty, express or implied, that any credential issued within the ecosystem will be recognized, accepted, or deemed equivalent by any employer, licensing body, professional association, government authority, or educational institution in any specific jurisdiction. Credential recognition is the sole responsibility of the Student to verify prior to enrollment.

In particular: UCAM and UTAMED degrees are classified as Títulos Propios issued under university autonomy — recognized for professional and corporate contexts across EHEA, but not automatically equivalent to Másteres Oficiales for entry to state-regulated professions in Spain or other jurisdictions. Students whose professional goals require a specific type of accreditation should verify compatibility before enrolling.

B. No Guarantee of Employment or Career Outcomes

RSH makes no representation that completion of any RSIT certification or partner university degree will result in employment, salary increase, promotion, or any specific career outcome. Testimonials and success stories on the Sherman Pathways website reflect individual experiences and are not representative of typical outcomes.

C. Limitation of Liability

To the maximum extent permitted by applicable law, RSH's total aggregate liability to any Student for any claim arising from or related to these Terms, any enrollment, or any use of the LMS or RSIS platform — whether in contract, tort (including negligence), or otherwise — shall not exceed the total tuition paid by that Student for the specific program giving rise to the claim in the 12 months preceding the claim. RSH shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

D. Force Majeure

RSH is not liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to: natural disasters; acts of government; internet or telecommunications infrastructure failures; cyberattacks affecting RSH's platform or third-party service providers; Partner University closures or academic calendar changes; or pandemic or public health emergencies. In such events, RSH will use reasonable efforts to restore service and will communicate the situation to affected Students in a timely manner.

E. Third-Party Platforms

The RSIT LMS and RSIS Sandbox may integrate with or link to third-party platforms (e.g., AWS, Google Workspace, LLM APIs). RSH is not responsible for the availability, accuracy, or content of third-party platforms, nor for any data processed by the Student on third-party systems in the course of their studies. Students are responsible for compliance with third-party terms of service when using such platforms as part of their coursework.

Dispute Resolution & Governing Law

A. Informal Resolution — First Step Required

Before initiating any formal dispute process, Students must submit a written complaint to admission.support@shermanpathways.com describing the dispute in detail. RSH commits to responding within 10 business days. The parties agree to make good-faith efforts to resolve disputes informally within 30 calendar days of the complaint submission.

B. Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms, any enrollment, or any use of the RSH/SP/RSIT platforms shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Marlborough, Massachusetts, or remotely as agreed by the parties. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.

C. Class Action Waiver

Students waive their right to participate in any class action lawsuit or class-wide arbitration against RSH, Sherman Pathways, or RSIT. All disputes must be brought individually. This waiver applies to all claims, including claims that are currently being asserted in an existing class action proceeding.

D. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States of America, without regard to its conflict of law principles. For any matters not subject to arbitration, the parties submit to the exclusive jurisdiction of the state and federal courts located in Worcester County, Massachusetts.

E. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

F. Policy Updates & Notice

RSH reserves the right to update these Terms at any time. Material changes will be communicated to enrolled Students by email at least 30 days before the effective date of the change. Continued use of the LMS after the effective date of an updated Terms version constitutes acceptance of the updated Terms. The current version of these Terms is always available at shermanpathways.com/pages/support-policies. The version applicable to any enrollment dispute is the version in effect at the time of the disputed enrollment.
